Acceptance of Terms, Eligibility & Scope
These Terms and Conditions govern access to and use of HPzenAi websites, mobile applications, e-commerce services, connected products, firmware, documentation, and related support channels. By accessing any HPzenAi platform, creating an account, placing an order, activating a connected device, or downloading firmware or documentation, you agree to be bound by these Terms and Conditions and the HPzenAi policies incorporated by reference.
- You must be at least 18 years of age and legally competent to enter into a binding contract under applicable Indian law.
- If you act on behalf of a company, partnership, proprietorship, trust, institution, or other legal entity, you represent that you have authority to bind that entity to these Terms and Conditions.
- If you do not agree to these Terms and Conditions, you must not access or use HPzenAi platforms, products, or services.
- Additional platform, product, enterprise, marketplace, or service-specific terms may apply where expressly stated and will form part of the overall contractual framework.
Account Registration & Security
Where account registration is required, you are responsible for maintaining accurate account information, protecting account credentials, and ensuring that access to your account is controlled appropriately.
- You must provide accurate, current, and complete information when registering, ordering, or communicating with HPzenAi.
- You are responsible for safeguarding passwords, authentication tokens, OTP-linked channels, and all activity carried out through your account.
- You must notify HPzenAi promptly at support@hpzenai.com if you become aware of unauthorised access to your account or any compromise of credentials.
- HPzenAi may suspend, restrict, or terminate accounts where false information, fraud, abuse, security risks, or policy violations are identified.
Product Information & Availability
HPzenAi makes reasonable efforts to keep product descriptions, images, specifications, pricing, and availability information accurate at the time of publication. However, product information may change over time due to manufacturing updates, firmware revisions, stock movement, sourcing changes, or correction of clerical or technical errors.
- Product specifications, dimensions, images, and performance parameters are provided for reference and may vary within normal manufacturing or revision tolerances.
- Product availability is subject to stock, procurement lead times, pin-code serviceability, regulatory constraints, and fulfilment-channel availability.
- HPzenAi may modify, replace, discontinue, or withdraw products, variants, accessories, firmware, or related services, subject to honouring confirmed orders where legally required.
- Pricing and tax treatment are governed by the applicable HPzenAi Pricing Policy and checkout or invoice records.
Orders, Contract Formation & Invoicing
Submission of an order constitutes an offer by the customer to purchase the selected product or service. A binding contract is formed only when HPzenAi accepts the order through order confirmation, invoice issuance, dispatch, or other written confirmation of acceptance, following payment realisation and order verification where applicable.
- Direct-store orders generally require full advance payment unless a separate written commercial arrangement applies.
- Orders placed through the HPzenAi website, mobile application, or other authorised digital storefronts remain subject to stock verification, payment confirmation, fraud checks, and fulfilment feasibility review before acceptance.
- HPzenAi may reject, cancel, or modify orders affected by stock unavailability, pricing or listing errors, suspected fraud, export or compliance concerns, incomplete information, or other legitimate business reasons.
- Display of a product, price, or promotional offer on an HPzenAi online storefront does not by itself guarantee acceptance of an order or continued availability at that listed price.
- Where HPzenAi cancels a paid order, the refund process will be initiated in accordance with the applicable refund and payment-processing timelines.
- GST-compliant invoices are issued for eligible orders in accordance with applicable tax law.
Payment Methods & Processing
Payment methods made available on HPzenAi platforms may vary based on platform, order type, customer location, and payment-processor availability. Payment processing is handled through authorised third-party payment service providers and is subject to their operational rules and network availability.
- HPzenAi does not store full card numbers, CVV data, UPI PINs, or banking credentials on its own systems where payments are handled through authorised payment gateways.
- Orders placed through HPzenAi online storefronts are treated as confirmed for fulfilment only after the applicable amount has been successfully received, credited, and verified by HPzenAi or its authorised payment service provider.
- Payment failures, reversals, bank declines, UPI issues, or gateway outages may affect order processing and are subject to the operational policies of the relevant payment service provider.
- Promotional pricing, launch offers, coupons, and bundled-store offers may be withdrawn, corrected, or made unavailable where required by technical correction, stock limits, abuse prevention, or commercial review.
- Refund timing, payment-fee deductions, and dispute handling are governed by the Refund Policy and the operational rules of the relevant payment service provider.
Shipping, Dispatch & Delivery
Shipping, dispatch, delivery, fulfilment channels, carrier selection, logistics arrangements, and related responsibilities are governed by the HPzenAi Shipping Policy, which forms an integral part of these Terms and Conditions.
- Dispatch timing, delivery estimates, carrier selection, shipping charges, and fulfilment channels are governed by the Shipping Policy.
- Customers are responsible for providing a correct, complete, and deliverable shipping address and for receiving shipments during carrier delivery attempts.
- Risk of loss and title transfer are governed by the Shipping Policy and applicable law.
Warranty, Refunds & Cancellations
Warranty coverage, exclusions, service procedures, cancellations, refunds, and RMA handling are governed by the HPzenAi Warranty Policy and Refund Policy, each of which forms an integral part of these Terms and Conditions.
- Warranty periods, covered defects, exclusions, customer obligations, and repair or replacement procedures are governed by the Warranty Policy.
- Refund eligibility, pre-dispatch cancellations, technical review procedures, refund deductions, and refund timelines are governed by the Refund Policy.
- Return Merchandise Authorisation (RMA) procedures are governed by the Warranty Policy and applicable HPzenAi service procedures.
- Nothing in these Terms and Conditions is intended to limit statutory consumer rights available under applicable law.
Connected Devices, Firmware & Cloud Services
Certain HPzenAi products depend on firmware, connectivity, mobile applications, cloud dashboards, remote configuration services, telemetry, or other connected-service features. Access to such features depends on the product model, user configuration, connectivity environment, and service availability.
- Connected-service availability may be affected by planned maintenance, firmware rollouts, emergency fixes, infrastructure incidents, third-party network outages, or service lifecycle changes.
- HPzenAi may release firmware, software, and security updates for supported products and may require reasonable compatibility, support, or security measures to continue connected-service operation.
- HPzenAi may modify, restrict, or discontinue connected-service features where reasonably required for security, compliance, architecture, service continuity, or product lifecycle management.
- Automated diagnostics, telemetry-based alerts, and connected monitoring outputs are provided on a best-effort basis and must not be treated as a substitute for engineering judgment, manual inspection, protective devices, or safety systems.
Customer Responsibilities & Safe Use
Customers are responsible for selecting products suitable for their intended use case, ensuring compliant installation, operating products within rated parameters, and maintaining appropriate site-level protections and supervision.
- Products involving electrical wiring, switching, metering, automation, or connected control should be installed, commissioned, and maintained by suitably qualified personnel in accordance with applicable law, standards, and site safety requirements.
- Products must be operated only within the rated voltage, current, load, temperature, environmental, and application parameters stated in the relevant product documentation.
- Customers are responsible for providing suitable site protections, including earthing, circuit protection, surge protection, isolation, manual overrides, and any other safety infrastructure appropriate to the installation.
- HPzenAi products should not be used as the sole means of protecting life, property, livestock, crops, irrigation systems, industrial processes, or critical infrastructure. Appropriate backup systems, manual overrides, and safety protections should always be employed.
- Customers are responsible for reviewing the product page, product documentation, official HPzenAi Guide resources, installation guides, and support guidance before deployment and use.
Acceptable Use & Prohibited Conduct
Use of HPzenAi platforms, software, content, and connected services must remain lawful, authorised, and consistent with these Terms and Conditions. The following conduct is prohibited and may result in suspension, termination, legal action, or all of these.
- Accessing, attempting to access, or probing systems, accounts, infrastructure, APIs, or data belonging to HPzenAi or other users without authorisation.
- Introducing, uploading, or transmitting malware, ransomware, spyware, viruses, harmful code, exploit payloads, or automated bots or crawlers without prior written permission.
- Misrepresenting identity, impersonating HPzenAi employees, support agents, or other users, or creating multiple accounts to circumvent restrictions, exploit promotions, or manipulate platform features.
- Scraping, harvesting, bulk-extracting, or systematically collecting data from HPzenAi platforms, product listings, pricing databases, or customer data without prior written consent.
- Using HPzenAi platforms for unlawful, fraudulent, defamatory, discriminatory, abusive, harassing, or obscene purposes.
- Interfering with, disrupting, or circumventing platform security features, authentication mechanisms, rate limiters, access controls, or content delivery infrastructure.
- Reverse engineering, decompiling, disassembling, or attempting to derive the source code of HPzenAi firmware, software, or compiled binaries without prior written authorisation, except to the extent permitted by applicable law.
- Submitting reviews, ratings, feedback, attachments, or other content that infringes third-party rights or violates applicable law.
Intellectual Property & Limited Licence
All HPzenAi platforms, content, software, firmware, documentation, branding, and related materials contain intellectual property owned by or licensed to HPzenAi. No ownership rights are transferred to the customer or user except for the limited rights expressly granted under these Terms and Conditions.
- Trade marks, logos, product names, service marks, designs, documentation, source code, compiled firmware, images, layouts, and written content remain the property of HPzenAi or its licensors.
- Users are granted a limited, non-exclusive, non-transferable, revocable licence to access HPzenAi platforms and to use product documentation solely for lawful operation and support of HPzenAi products.
- No content may be reproduced, modified, reverse engineered, distributed, sublicensed, republished, or commercially exploited without prior written permission, except to the extent such restriction is not permitted by applicable law or an applicable open-source licence.
- Custom, modified, or third-party firmware used on HPzenAi hardware is used entirely at the customer's own risk and may affect warranty eligibility, support eligibility, performance, compliance, and security.
Third-Party Services & Privacy
HPzenAi platforms and products may integrate with or link to payment gateways, logistics providers, marketplace platforms, app stores, cloud infrastructure providers, analytics tools, communication services, and other third-party systems. HPzenAi does not own or control those third-party services and they operate under their own legal terms and privacy rules.
- Orders placed on Amazon, Flipkart, or other third-party marketplaces are additionally governed by the policies and terms of those marketplaces.
- Payment transactions, carrier operations, and app-store or third-party service features are subject to the operational and legal terms of the relevant third party.
- Collection, processing, storage, sharing, and protection of personal data are governed by the HPzenAi Privacy Policy.
- HPzenAi is not responsible for the availability, performance, policy changes, or security failures of independent third-party services beyond the extent required by applicable law.
Disclaimers & As-Is Availability
HPzenAi platforms, content, connected services, and products are provided on an as-is and as-available basis to the fullest extent permitted by applicable law, except to the extent express obligations are set out in applicable warranty, service, or consumer-protection law.
- HPzenAi does not warrant uninterrupted platform access, perpetual service availability, or error-free operation at all times.
- Product images, illustrations, rendered views, and visual layouts are provided for guidance and may differ from the delivered product due to normal manufacturing, revision, or display variation.
- Connected-service outputs, alerts, and diagnostic tools are best-effort features and do not constitute guaranteed detection, guaranteed uptime, or guaranteed suitability for safety-critical use.
- Nothing in this section limits any express warranty, statutory consumer right, or non-excludable legal obligation.
Limitation of Liability
To the maximum extent permitted by applicable law, HPzenAi's aggregate liability arising from any single claim or series of related claims connected to a specific product, service, or transaction shall not exceed the amount actually paid for the specific product or service that directly gave rise to the claim.
- To the fullest extent permitted by applicable law, HPzenAi excludes indirect, incidental, special, consequential, punitive, and exemplary losses, including loss of profit, revenue, data, goodwill, or business opportunity.
- HPzenAi is not liable for customer-side installation errors, unsuitable site conditions, inappropriate product selection, third-party integration failures, or failure to maintain suitable safety systems, power protection, or manual overrides.
- Nothing in these Terms and Conditions excludes liability that cannot lawfully be excluded, including liability for fraudulent misrepresentation, death, or personal injury caused by proven negligence where such exclusion is not permitted by law.
- Statutory consumer rights are not excluded or limited by this section.
Indemnification
You agree to indemnify, defend, and hold harmless HPzenAi, its directors, employees, affiliates, distributors, and service providers from and against claims, losses, damages, liabilities, costs, and expenses arising from the following circumstances.
- Your misuse of HPzenAi products or services.
- Violation of these Terms and Conditions.
- Violation of applicable law.
- Incorrect installation, operation, or integration of HPzenAi products.
- Claims arising from customer-provided data, content, or third-party integrations.
Suspension, Termination & Enforcement
HPzenAi may suspend, restrict, or terminate access to platforms, accounts, connected services, or support channels where reasonably necessary to protect the platform, enforce these Terms and Conditions, comply with law, or address security, fraud, or abuse concerns.
- Grounds may include policy violations, unlawful conduct, fraud risk, misuse of connected services, false information, payment abuse, or security threats.
- HPzenAi may continue to retain records, enforce accrued rights, complete pending obligations, or comply with legal requirements after suspension or termination.
- Provisions relating to payment obligations, intellectual property, privacy, liability, dispute resolution, and policy interpretation survive termination to the extent relevant by nature.
Force Majeure
HPzenAi will not be in breach of these Terms and Conditions, nor liable for delay, failure, or interruption in performance, where such delay or failure results from events beyond HPzenAi's reasonable control.
- Such events may include natural disasters, severe weather, fire, flood, strikes, transport disruptions, war, terrorism, civil disturbance, government restrictions, epidemic or pandemic impacts, utility failures, telecommunications failures, or third-party infrastructure outages.
- Where reasonably practicable, HPzenAi will provide status updates and resume performance as soon as operationally feasible after the force majeure event subsides.
Entire Agreement & Governing Law
These Terms and Conditions, together with the policies and documents expressly incorporated by reference, constitute the complete agreement between you and HPzenAi regarding the subject matter addressed here and supersede prior discussions or understandings relating to the same subject matter.
- If any provision is held invalid, unlawful, or unenforceable, the remaining provisions will continue in full force to the extent permitted by law.
- Failure by HPzenAi to enforce any provision on one occasion does not constitute a waiver of that provision or any other right.
- These Terms and Conditions are governed by the laws of India.
- Disputes arising from or in connection with these Terms and Conditions are subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India, unless applicable consumer law provides otherwise.

Policy Updates
HPzenAi may update these Terms and Conditions from time to time to reflect changes in law, technology, products, services, fulfilment models, or business operations. The version published on the HPzenAi platform is the operative version.
- Where reasonably practicable, HPzenAi will notify associated members and customers of material changes through available communication channels, which may include WhatsApp message, mobile app notification, and email.
